1. Agreement

By submitting an application, opening an account, or using any service provided by VerveGlobe LLC ("VerveGlobe", "we", "us"), you agree to these Terms of Service, our Acceptable Use Policy, and our Privacy Policy. If you are entering into this agreement on behalf of a company, you represent that you have authority to bind that company.

If you resell our services to downstream customers, you remain responsible for their compliance with these terms. See Section 6.4.

2. Eligibility and account

Services are available only to businesses and other legal entities. Accounts must be registered with accurate legal entity name, business address, tax identification number, and an authorized contact who has signing authority.

You are responsible for all activity under your account credentials, including activity by your downstream customers where you act as a distributor. You must notify us within 24 hours of any suspected unauthorized access.

3. Services

We supply US local direct inward dialing (DID) numbers, toll-free numbers, inbound and outbound voice routing, and messaging services on registered numbers. Services are provided on a wholesale basis to businesses that either use them internally or supply them to their own customers.

Services depend on upstream carrier networks and on the availability of numbers in any given rate centre. We do not guarantee that any specific number, area code, or rate centre will remain available.

4. Verification

Before any number is provisioned, you must complete identity and use-case verification as described in our KYC Policy. We may decline an application, request additional documentation, or suspend provisioning pending review. We may also re-verify an existing account at any time, including where usage patterns differ materially from the declared use case.

5. Fees and payment

6. Numbers

6.1 No property right

Numbers are assigned for use during the term of service. You do not acquire any ownership, property, or proprietary right in any number. Numbers are allocated by upstream carriers and are subject to their rules and to applicable regulation.

6.2 Assignment and binding

Each number is assigned to a single account and remains bound to that account for the duration of the assignment. Numbers may not be shared, pooled, or transferred between accounts without our written consent.

6.3 Return and quarantine

Numbers returned or reclaimed enter a quarantine period before being made available for reassignment. Numbers with no usage for 90 consecutive days may be reclaimed.

6.4 Downstream customers

If you supply numbers to downstream customers, you must: (a) verify each downstream customer's identity and use case before provisioning; (b) impose terms at least as protective as our Acceptable Use Policy; (c) maintain records mapping each number to a named downstream customer; and (d) suspend any downstream number within 24 hours of a credible abuse report. You remain liable to us for your downstream customers' use of the services.

7. Prohibited use

You may not use the services for any purpose prohibited in our Acceptable Use Policy, including without limitation cold calling, calling or texting without required consent, auto-dialing, robocalling, and bulk marketing messaging. Violation is a material breach of these terms.

8. Suspension and termination

We may suspend or terminate service immediately, without notice, where we reasonably believe that: (a) the services are being used in violation of these terms or the Acceptable Use Policy; (b) use presents a risk of fraud, unlawful activity, or harm to our network or reputation; (c) required verification is not completed or is found to be inaccurate; or (d) required by a carrier, regulator, or law enforcement.

Either party may terminate for convenience with 30 days' written notice. On termination, numbers are reclaimed and remaining prepaid balances are handled as set out in your order form.

9. Service levels

Unless a separate service level agreement is signed, services are provided on a commercially reasonable efforts basis. We do not warrant uninterrupted or error-free operation, and we are not liable for failures originating in upstream carrier networks, interconnection partners, or public internet infrastructure.

10. Liability and indemnity

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the services is limited to the amounts you paid to us in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business.

You agree to indemnify and hold VerveGlobe harmless from claims, damages, fines, and costs arising from: (a) your use of the services or your downstream customers' use; (b) your breach of these terms or the Acceptable Use Policy; or (c) claims by third parties relating to calls or messages sent using numbers assigned to you.

11. Governing law

These terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. The state and federal courts located in Denver County, Colorado have exclusive jurisdiction over any dispute.
